Terms of use
The platform is operated by ITERIO S.R.L. (company no. 47926190), registered in Ocna Mureș, Alba County, Romania ("we"). These terms apply to the organisation using the platform and to its users ("you"). The platform is intended exclusively for professionals (merchants and agencies), not consumers. Order of precedence: the contract signed with your organisation, then the Data Processing Agreement (DPA), then these terms. This is an English translation; the Romanian version prevails.
1. The service
The platform provides ad analyses, scaling signals, profit calculation, market research and the generation of video ads and product pages, based on the data you connect (Meta, TikTok, Shopify, Fulfilo) and the AI provider keys you bring. Results are suggestions and estimates; business decisions and advertising spend remain yours.
We develop the platform continuously: features may change, and we will not withdraw an essential feature you paid for without telling you in advance. Without a service level (SLA) agreed in the contract, we do not guarantee uninterrupted operation; maintenance work is announced in the platform.
2. Third-party platforms
Connecting Meta, TikTok, Shopify or Fulfilo happens with your authorisation and is also governed by the terms of those platforms, which you accept directly with them. We are not affiliated with them. Where the platform only reads data (Meta, TikTok, Fulfilo), we do not create, modify or delete anything in your account without a separate, explicit permission. If a third-party platform changes its access or rules, the features that depend on it may change accordingly.
3. Content generated with artificial intelligence
The ads, images, voices and texts produced in the platform are generated with artificial intelligence models. We label them as such in the platform ("Conținut generat cu AI") and in the name of the file you download.
A model's output may contain mistakes; you review it before publishing. When you publish it, the obligation to label it towards consumers stays with you, as the merchant: the Omnibus Directive and consumer protection law prohibit presenting as real a testimonial, a demonstration or a result that did not happen. The platform does not generate testimonials presented as coming from real customers and cannot guarantee that a generated asset complies with the advertising rules of your niche or of the platform where you publish it.
4. Account and access
You are responsible for keeping your password confidential and for the actions taken from your account. You only connect accounts and stores you are entitled to manage. You can revoke the platform's access at any time from Settings, from Facebook, from TikTok or from Shopify.
Our support team can enter your account ("impersonation") to help you. When that happens you see a banner at the top of the page saying who and since when, and the access is logged. Under impersonation, no spending can be committed on your keys.
5. Acceptable use
You do not use the platform to:
- produce or promote content that is illegal, misleading, defamatory or that infringes the rights of others (trademarks, copyright, a person's image);
- upload material showing identifiable people without their consent, or personal data you do not need for the service;
- break the advertising rules of Meta, TikTok, Google or other platforms where you publish;
- circumvent the platform's limits, access another organisation's data or test its security without our written consent.
6. Provider costs and the monthly cap
AI generations run on your keys, and their costs are billed directly to you by the providers. The platform shows the estimated consumption but does not control provider prices.
The platform applies a monthly spending cap where one is set: every organisation opened since 15 September 2026 gets a mandatory one when the account is created, and older organisations get one in turn, until all have it. It is a safety brake, not an invoice or an included subscription: when it is reached, generations stop until we raise it together or the next month starts. If you work on your own keys, we can explicitly agree that you have no cap — then nothing automatically stops a generation, and the cost stays entirely between you and the providers.
The price of the service and the payment terms are those in the contract signed with your organisation.
7. Content and ownership
Your data remains yours. You grant us a limited, non-exclusive licence to process it strictly to deliver the service. You warrant that you hold the necessary rights over the material you upload (images, clips, trademarks, texts).
The materials generated for you belong to you once the agreed service is paid. The platform itself — the code, the design, the working models — remains ours. We may use the suggestions you send us about the platform to improve it, with no obligation towards you.
8. Confidentiality
Each party keeps confidential the non-public information received from the other (business data, results, prices, technical details) and uses it only to perform the contract. The obligation lasts 2 years after termination and does not apply to public information or to information the law obliges us to disclose.
9. Personal data
How we process personal data is described in the Privacy policy. For the data we process on your behalf (data from the connected accounts and stores, your materials), we are your processor, under the Data Processing Agreement (DPA), which forms part of these terms.
10. Limitation of liability
The service is provided "as is". We are not liable for indirect losses (loss of profit, loss of opportunity), for decisions taken based on the signals and estimates, or for the unavailability or changes of third-party providers (Meta, TikTok, Shopify, Fulfilo, AI providers). Our total liability is limited to the amounts paid for the service in the last 12 months.
The limitations above do not apply to damage caused intentionally or through gross negligence (art. 1355 of the Romanian Civil Code), nor to other cases where the law does not allow a limitation.
11. Force majeure
Neither party is liable for non-performance caused by a force majeure event (art. 1351 of the Romanian Civil Code), including the outage of infrastructure providers we do not control, as long as it informs the other party without delay.
12. Changes to these terms
We may change these terms. We notify you by e-mail or in the platform at least 15 days before an important change applies, and the platform asks you to accept the new version the next time you use it. If you do not accept it, you can stop using the service before it takes effect.
13. Termination
You can stop at any time, under the contract; we can suspend access for breach of these terms or non-payment, with notice. When the organisation is deleted, its data and files are permanently deleted after a safety period of 30 days.
14. Governing law and disputes
These terms are governed by Romanian law. We first try to settle any disagreement amicably, within 30 days of its written notification; failing an agreement, the dispute is settled by the competent courts at our registered office.
15. Final provisions
If a clause is declared invalid, the others remain in force. Notices are given by e-mail, to the addresses in the account and below. These terms may exist in translation; the Romanian version prevails.
